Transfer of rights or liabilities if the legal person is merged

(1) If a legal person merges with another legal person for any reason, the rights or obligations of such person shall be as determined at the time of such merger.
(2) If no determination is made in accordance with sub-section (1), the rights or obligations of the legal person merging with another person shall be transferred to the merged legal person.
